1. Introduction

These Terms and Conditions of Use ("Terms") govern your access to and use of the Content Covered web application, website, and related services (together, the "Service"), operated by Content Covered ("we", "us", or "our"), a business licensed in the United Arab Emirates with its address at Al Gouj Street, Al Reem Island, Abu Dhabi.

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Disclaimer, which are incorporated by reference. If you do not agree, you must not use the Service.

2. Definitions

In these Terms:

"Account" means the registered account you create to access the Service.
"Content" means any text, captions, images, video, audio, hashtags, schedules, or other material created, uploaded, generated, scheduled, or published through the Service.
"User Content" means Content you provide, upload, or input into the Service.
"AI Features" means functionality that uses artificial intelligence or machine learning to generate, suggest, edit, or enhance Content.
"Third-Party Platforms" means external social media networks and services (for example Instagram, Facebook, TikTok, X, LinkedIn) that you connect to or publish to via the Service.
"You" or "User" means the individual or entity using the Service.

3. Eligibility

You must be at least 18 years old to create an Account and use the Service. By using the Service you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

The Service is not directed at children. We comply with applicable UAE law concerning minors, including Federal Decree-Law No. 26 of 2025 on Child Digital Safety. We do not knowingly permit persons under 18 to register.

4. Accounts and Security

To use most features you must register for an Account and provide accurate, current, and complete information. You are responsible for:

maintaining the confidentiality of your login credentials;
all activity that occurs under your Account; and
notifying us promptly at contentcovered.comms@gmail.com of any unauthorised use or security breach.

We may suspend or terminate Accounts that contain false information or that are used in breach of these Terms.

5. The Service

Content Covered provides tools to create, generate, schedule, organise, manage, and publish social media content, including AI Features that generate or assist with content such as captions, copy, images, and post ideas.

We may add, modify, suspend, or discontinue any part of the Service at any time. We will use reasonable efforts to give notice of material changes where practicable.

6. Subscriptions, Fees and Payment

Some features are offered on a paid subscription or pay-as-you-go basis. Where fees apply:

prices, billing cycles, and features are described at the point of purchase;
all fees are stated inclusive of UAE Value Added Tax (VAT) and any other applicable taxes — the price shown at checkout is the total amount you pay;
payment is processed by a third-party payment provider, which is identified to you at checkout; we do not receive or store full card details on our servers;
unless stated otherwise or required by law, fees are non-refundable; and
we may change pricing on prospective notice, with changes taking effect at your next renewal.

You may cancel a subscription at any time through your Account settings; cancellation takes effect at the end of the current billing period.

7. Acceptable Use

You agree that you will not, and will not permit others to:

use the Service in violation of any applicable UAE federal or local law, including laws on cybercrime (Federal Decree-Law No. 34 of 2021), media content, and intellectual property;
create, generate, schedule, or publish Content that is unlawful, defamatory, obscene, pornographic, hateful, discriminatory, harassing, or that incites violence;
create or distribute Content that infringes the intellectual property, privacy, or other rights of any person;
create or distribute Content that is contrary to the public morals, religious values, or public order of the UAE;
upload malware or attempt to gain unauthorised access to the Service or its systems;
scrape, reverse engineer, or copy the Service except as permitted by law;
use the Service to send spam or to engage in deceptive, fraudulent, or misleading practices; or
use AI Features to impersonate any person or to produce deepfakes or misinformation.

We may remove Content and suspend or terminate access for breach of this section.

8. User Content and Licence

You retain ownership of your User Content. To operate the Service, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, modify (for formatting and display), and transmit your User Content solely to provide and improve the Service and to publish it to the Third-Party Platforms you direct.

You represent and warrant that you own or have all necessary rights to your User Content and that its use through the Service does not infringe any third-party rights or violate any law.

9. AI-Generated Content

The Service includes AI Features. You acknowledge that:

AI-generated output may be inaccurate, incomplete, biased, or otherwise unsuitable, and you are solely responsible for reviewing and editing it before use or publication;
the same or similar output may be generated for other users, and we make no guarantee of uniqueness;
you are responsible for ensuring AI-generated Content complies with these Terms, applicable law, and the policies of any Third-Party Platform; and
to the extent that ownership of AI output is restricted under applicable law, our grant of rights in that output is limited accordingly.

10. Third-Party Platforms

The Service lets you connect and publish to Third-Party Platforms. Your use of those platforms is governed by their own terms and policies. We are not responsible for the availability, conduct, or policy changes of any Third-Party Platform, and we are not liable for any action they take regarding your account or Content (including suspension or removal). You authorise us to access and interact with those platforms on your behalf to the extent needed to provide the Service.

11. Intellectual Property

The Service, including its software, design, branding, "Content Covered" name and logo, and all related intellectual property, is owned by or licensed to us and is protected by UAE and international law. Except for the rights expressly granted to you, we reserve all rights. You may not use our branding without our prior written consent.

12. Suspension and Termination

You may stop using the Service and close your Account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or if necessary to protect the Service or other users. On termination, the licences you granted to us will end except to the extent Content has already been published to Third-Party Platforms or is retained as required by law. Sections that by their nature should survive (including sections 8–16) will survive termination.

13. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law. Full disclaimer language is set out in the separate Disclaimer.

14. Limitation of Liability

To the maximum extent permitted by UAE law:

we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity arising from or related to your use of the Service; and
our total aggregate liability arising out of or related to the Service will not exceed the greater of (a) the total fees you paid to us in the 12 months preceding the event giving rise to the claim, or (b) AED 500.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under UAE law.

15. Indemnity

You agree to indemnify and hold harmless Content Covered and its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, or your breach of these Terms or of applicable law.

16. Governing Law and Jurisdiction

These Terms are governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Abu Dhabi, without regard to conflict-of-law principles. The courts of Abu Dhabi have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, unless the parties agree in writing to resolve the dispute by arbitration under the rules of the Abu Dhabi International Arbitration Centre (arbitrateAD).

17. Changes to These Terms

We may update these Terms from time to time. We will post the updated version with a revised "Last updated" date and, for material changes, provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance.
